California Attorney General Cancels Settlement Talks With Paramount Over Warner Bros. Discovery Merger

California Attorney General Rob Bonta canceled a meeting scheduled for Monday with representatives from Paramount regarding the company's planned acquisition of Warner Bros. Discovery. Bonta accused Paramount of leaking and misrepresenting the substance of prior settlement discussions, stating that the company demonstrated a lack of good faith and was playing games. Paramount did not comment on the cancellation as of Monday morning.

The meeting was intended to discuss a potential settlement for a lawsuit led by California and 11 other states to block the merger, which is valued between 110 billion and 111 billion dollars. The states argue that the deal would violate antitrust laws by creating a company with disproportionate market power in cable television and film studios. Bonta has indicated that any resolution would require robust structural remedies, such as the divestiture of certain assets. However, reports suggest that Paramount executives are reluctant to dismantle parts of the combined business, as it could undermine the financial logic of the deal.

Pressure to reach an agreement has grown as the industry faces potential disruptions. Los Angeles Mayor Karen Bass noted that the dispute has paralyzed productions and caused job losses in Hollywood. Governor Gavin Newsom expressed concern over the state's reputation and the possibility of Paramount leaving California. The company faces significant financial pressure because it must pay Warner Bros. Discovery shareholders approximately 7 million dollars per day if the deal is not closed by October. An antitrust trial is currently scheduled for March.
