South Korea's Fair Trade Commission approved the acquisition of a controlling stake in Lotte Rental by U.S. private equity firm TPG Inc. on Tuesday. Lotte Group agreed last month to sell a 61.2 percent stake, held by Hotel Lotte and Busan Lotte Hotel, for 1.31 trillion won, which is approximately 953 million dollars. The deal is expected to close in October.
The FTC stated that the acquisition is unlikely to hinder competition because TPG and Lotte Rental operate in unrelated business areas. This decision follows a previous attempt by Lotte to sell the company to Affinity Equity Partners last year, which the FTC blocked in January because Affinity already owned SK Rent-a-Car, the second largest rental car operator in the country.
Lotte Group intends to use the proceeds from the sale to strengthen the finances of its hotel units and fund premium brand growth and renovations. The sale is part of a broader restructuring effort. Lotte has raised about 1.7 trillion won this year through various asset sales. Additionally, Lotte Chemical is restructuring its plants in Daesan and Yeosu. These moves coincide with stronger earnings for major units, including Lotte Shopping and Hotel Lotte.
